Terms & Conditions

 

GENERAL

  1. a) In these terms and conditions, the phrase “the Company” shall mean EWJ Teknik, and/or its associated Companies.

 

  1. b) The goods contained in the Company’s price list are sold upon the following Terms and Conditions. Any conditions printed on customers’ order forms are binding only insofar as they are not at variance with these Conditions and have been specifically agreed to in writing.

 

ACCEPTANCE AND VARIATION OF PRICE

  1. i) All quotations, whether verbal or in writing, do not constitute offers and are subject to the Company’s confirmation on receipt of the customer’s order.

 

  1. ii) All prices quoted or listed by the Company are based on the prices of the Company’s suppliers at the time of quotation or listing and are subject to adjustment prior to dispatch to cover any increase in such prices or in taxation or duty prior to delivery. Such prices are exclusive of packing, carriage, installation, and VAT.

 

iii) Where goods are to be imported, the Company reserves the right to vary the price quoted to reflect the exchange rate for the relevant currency in pounds sterling.

 

DELIVERY AND INSTALLATION

  1. i) The Company will use its best endeavours to deliver at the stated time but delivery dates shall be regarded as estimates only. The Company shall not be liable for any delay beyond its control.

 

  1. ii) Goods are deemed delivered when delivered to the address in the UK specified by the customer, even if installation is not yet completed.

 

iii) Unless otherwise stated, the Company shall install the goods, provided the site is prepared per instructions and necessary facilities are available. If installation is not possible due to no fault of the Company, additional charges for re-visits may apply.

 

  1. iv) Partial delivery of goods will not entitle the customer to repudiate the contract.

 

  1. v) If delivery instructions are not provided within 14 days of notification, the Company may store the goods at the customer’s expense.

 

  1. vi) Unless agreed otherwise, goods will be consigned via the cheapest route with carriage costs payable by the customer.

 

vii) Any special delivery arrangements requested by the customer will incur additional charges.

 

RISK AND TITLE TO GOODS

  1. a) Risk passes to the customer upon delivery, but ownership remains with the Company until full payment is received. In case of resale before full payment, the customer shall hold the proceeds in trust for the Company and keep them in a separate bank account.

 

  1. b) Prior to full payment, the Company may repossess the goods and the customer shall keep them identifiable for this purpose.

 

  1. c) If goods are transformed into other products, title passes to those products under the same terms.

 

  1. d) The customer’s authority to sell goods is revoked upon certain insolvency events, including:

 

  1. i) Appointment of an administrator or receiver
  2. ii) Presentation of a winding-up petition

iii) Resolution for voluntary winding-up

  1. iv) Intention to make arrangements with creditors
  2. v) Petition for bankruptcy

 

  1. e) Upon such notice or event, the customer must return the goods immediately to the Company.

 

NOTIFICATION OF LOSS OR DAMAGE

Customers must notify the Company in writing within:

 

3 days of delivery in case of shortage or damage

 

7 days of invoice if goods have not been received

 

Failure to notify shall constitute acceptance of the goods.

 

PAYMENT

  1. a) Unless stated otherwise, payment is due 30 days from invoice date. The Company reserves the right to withhold services if payment is not received, and to charge 2% interest per month on overdue amounts, along with an administration fee.

 

  1. b) Payment is due regardless of whether ownership has passed. The Company may sue for payment once due.

 

CANCELLATION AND VARIATION

Orders are binding once accepted. Cancellations or variations are at the Company’s discretion.

 

  1. a) Cancellations of non-standard products are not accepted.
  2. b) Delivery date changes or variations must be communicated before the end of the month preceding the delivery month.
  3. c) A 30% restocking fee may apply for accepted cancellations.

 

LIABILITY

  1. a) The Company will repair or replace defects due to workmanship or materials if notified within 6 months from delivery (or resale), provided defects are not due to misuse, negligence, or improper installation. Goods must be made available for inspection or returned within 14 days of notification.

 

  1. b) Except for death or personal injury due to negligence and breach of title warranties, all other warranties or liabilities are excluded.

 

  1. c) The Company’s liability is limited to the amount covered by its insurance and excludes consequential loss, profit, or contract loss.

 

FORCE MAJEURE

The Company is not liable for delays or non-performance due to events beyond its control, including but not limited to: natural disasters, war, government actions, fire, flood, strikes, or accidents.

 

LEGAL INTERPRETATION

These Terms are governed by English Law, and disputes shall be resolved by the English Courts.

 

SEVERANCE

If any part of these Terms is found unenforceable, the remainder shall continue in full force and effect.
